Terms Of Service

These Terms of Service (“Terms”) govern your use of ClimaEngage AI (“we,” “our,” or “us”) and any related services (the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services.


1. Definitions
“Services” refers to ClimaEngage AI’s subscription-based platform that delivers AI-crafted leadership stories, as well as any related websites, applications, or online tools.
“User,” “you,” or “your” means any individual or entity that accesses or uses the Services.
“Content” means any text, images, graphics, or other materials provided by ClimaEngage AI or created and delivered to the User as part of the Services (for example, weekly leadership stories).

2. Acceptance of Terms
By subscribing, registering, or otherwise using the Services, you confirm that you are at least 18 years of age (or have the legal ability to enter into contracts in your jurisdiction) and that you have read, understood, and agree to these Terms. These Terms form an agreement between you and EcoStart Ventures Inc., the parent company of ClimaEngage AI.


3. Subscription Plans & Billing Plans
We offer multiple subscription tiers (“Starter,” “Growth,” and “Team”) as described on our website or pricing page (e.g., pro.climaengage.com).
Each plan entitles you to a specified number of AI-crafted leadership stories per month, as well as any additional features (e.g., Value Library access, multi-user review).
Billing & Payment
All payments are processed via Stripe. By subscribing, you authorize Stripe (and us) to charge your chosen payment method according to the plan price and billing cycle selected.
Subscription fees are billed on a recurring monthly basis until canceled. The billing date is determined by the date you first subscribed.
Free Tier (“Starter”)
The Starter plan includes one (1) free story. After this is delivered, you may continue on Starter (free) or upgrade to a paid plan.
Upgrade, Downgrade & Cancellation
You may upgrade or downgrade between plans at any time by following the link in your account settings or contacting support.
Changes to your subscription plan will take effect at the start of the next billing cycle.
To cancel, visit the cancellation link provided in your account management interface or email support. There are no cancellation fees; however, you will retain access to your current plan until the end of the billing cycle in which you cancel.
Refunds
All subscription fees are non-refundable. If you cancel mid-cycle, you will continue to have access until the end of your paid period, but no prorated refunds will be issued.

4. Use of Services
Permitted Use
You may use and distribute Content (stories) internally within your organization or externally (for marketing, social media, newsletters, etc.), provided you do not resell or sublicense the Content as a standalone product.
You agree not to reproduce, reverse-engineer, or redistribute the underlying AI model or workflow.
Prohibited Conduct You agree not to:
Use the Services for any unlawful purpose, including but not limited to infringing intellectual property rights or violating privacy rights.
Upload, share, or transmit any content that is malicious, defamatory, obscene, or otherwise objectionable.
Attempt to gain unauthorized access to ClimaEngage AI’s systems or use them in any way that could harm, disable, or impair them.
User-Provided Information
You are responsible for providing accurate, complete, and updated information (e.g., your company name, business email).
You grant ClimaEngage AI permission to use any non-confidential materials you submit (e.g., value statements, brand guidelines) solely for the purpose of crafting your stories.

5. Intellectual Property
ClimaEngage AI Ownership
ClimaEngage AI (and its parent, EcoStart Ventures Inc.) retains all rights, title, and interest in and to the Services, the underlying technology, and any “Content” or documentation (other than what is specifically delivered to you as part of your subscription).
All trademarks, logos, and trade names used or displayed in connection with the Services are the property of ClimaEngage AI or their respective owners.
License to Use Content
Subject to your active subscription, ClimaEngage AI grants you a limited, non-exclusive, non-transferable license to use, reproduce, and distribute the AI-generated stories for your internal communications or marketing.
You may not remove any proprietary notices or watermarks embedded in the Content.

6. Privacy & Data Protection
Your use of ClimaEngage AI’s Services is also governed by our Privacy Policy, available at the link provided in the footer of our site. You consent to our data collection, use, and storage practices as described there.


7. Disclaimers & Limitation of Liability
Disclaimer of Warranties
The Services are provided “as is” and “as available.” ClimaEngage AI makes no warranties, express or implied, regarding the accuracy, reliability, or suitability of the Content for any purpose.
ClimaEngage AI does not guarantee uninterrupted or error-free service.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall ClimaEngage AI (or EcoStart Ventures Inc.) be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services or any Content.
Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the total amount you have paid to ClimaEngage AI in the twelve (12) months preceding the claim.8. Indemnification
You agree to indemnify, defend, and hold harmless ClimaEngage AI, its officers, directors, employees, and agents, from any claim, loss, liability, expense, or demand (including reasonable attorneys’ fees) arising out of:
Your use of the Services in violation of these Terms.
Any actionable claim that any Content you supplied or used through the Services violates a third party’s rights.


9. Termination By You
You may cancel your subscription at any time as described in Section 3.4.
After cancelation, you will lose access to paid features at the end of your billing cycle.
By ClimaEngage AI
We reserve the right to suspend or terminate your access to the Services if you breach these Terms or for any other reason, with or without notice.
Upon termination by us, you lose access to all paid features immediately; however, any fees already paid by you are non-refundable.


10. Governing Law & Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved through good-faith negotiations between the parties.
If the dispute cannot be resolved within thirty (30) days of written notice, either party may bring a claim in the state or federal courts located in Wilmington, Delaware.


11. Changes to Terms
ClimaEngage AI may modify these Terms at any time. We will post updated Terms on our website (“Last Updated” date will change). Continued use of the Services following the posting of changes constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Services.
